Terms, Conditions,
Exceptions &Delivery

• Please address the purchase order and/or purchase commitment to KABELTRAX LLC referencing the correct KABELTRAX LLC RFQ number listed at the top of this quotation.
• Manufactured per strict KABELTRAX LLC - manufacturing and quality standards.
• THIS QUOTATION PRECLUDES AND SUPERSEDES ANY AND ALL PREVIOUSLY SUBMITTED FOR THIS PROGRAM.
• Acceptance of this quotation is limited to the terms of the quotation. Additional or different terms shall not become part of the contract without the prior written agreement from KABELTRAX LLC senior management.
• KABELTRAX LLC warrants for a period of 36 months after the date of shipment all goods manufactured by it to be free from factory defects in material and workmanship. If within such warranty period, any such goods are proven, to KABELTRAX LLC’S satisfaction to be defective, such goods shall be repaired, or at KABELTRAX LLC’S option, replaced F.O.B. KABELTRAX LLC’S dock without charge, KABELTRAX LLC obligation hereunder shall be confined to such repair or replacement and shall be further conditioned upon KABELTRAX LLC receiving written notice on any alleged defect within 10 days after discovery and at KABELTRAX LLC’S option, the return of the allegedly defective goods to KABELTRAX LLC.
• KABELTRAX LLC. standard product (operation in application not warranted) warranty is contained herein. KABELTRAX LLC. MAKES NO OTHER WARRANTY, EXPRESSED OR IMPLIED, RESPECTING ANY OF THE PURCHASED GOODS, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR FREEDOM FROM CLAIMS FOR INFRINGEMENT. IN NO EVENT SHALL KABELTRAX LLC. BE LIABLE FOR LOST PROFITS OR ANY OTHER INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES.
• Upon request KABELTRAX LLC will supply drawings, specifications and other materials for your exclusive and sole use in assessing this KABELTRAX LLC quotation and in connection with performance of the contract. These materials are confidential and reflect trade secrets and other proprietary information belonging to KABELTRAX LLC. All those materials may not be reproduced and/or disclosed in any way to others or used other than for the purposes mentioned without the written permission of KABELTRAX LLC senior management.
• Dedicated Tools and/or Automated Machinery Maintenance: Repair and/or replacement due to normal use, wear and tear, as required, in whole or in part, will be the responsibility of KABELTRAX LLC through the life the production program (“life” is qualified as 5 years from PSO sign-off).
• Ownership of molds: The customer. However, the customer, customer agent or customer contractor can not disclose, use or manufacture of said molds without the prior written consent of KABELTRAX LLC senior management and KABELTRAX LLC who is the sole owner of the part and mold designs/technology.
• Mold Storage: Prototype molds will be maintained and held in storage for a maximum of 3 years from the date of PSO. Select* production molds will be maintained and held in storage for a maximum of 10 years after the date of PSO.
• Production Mold retirement: Once this program ends, *only the proper number of molds will remain active to satisfy the customers OES requirements, all other molds will be retired after notifying the specified customer representative in writing.
• Mold build tracking: Gantt charts will be submitted to customer bi-monthly
• Delivery Point; Ex-Works KABELTRAX LLC Facility (dock), Milwaukee, WI
• Packaging Costs: Standard KTX specified (in customer quotations), included
• Shipping Charges; Not Included
• Price/Quote Validity; 90 days from submittal date on the top of the customer quotation.
• Delivery Lead Time;
  • Molds, Products and Documentation = As specified by KABELTRAX LLC within this quotation
• Payment Terms;
  • All Tools, Molds and Dedicated Equipment: Payment in full due Net 30 Days after PPAP submittal.
  • Production Parts: Payment in full due Net 30 Days
• Delays: Delays due to the customer are not the responsibility of KABELTRAX LLC
• Cancellation Charges: Customer agrees that at a minimum they will pay for the following costs:
  • Costs of all reasonable time (charged at $150/hour) and materials (charged at cost +15%) involved and all unrecoverable capital costs
• Approval: Receipt of customer purchase order and initial financial commitment is customer confirmation of all technical details as well as the terms and conditions herein listed.
